Welcome to ZapAI ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the ZapAI website, platform, and API services (collectively, the "Service") operated by ZapAI.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and the terms "you" and "your" will refer to that organization.

ZapAI provides an AI cost optimization platform that includes smart API routing, response caching, usage analytics, and billing management. The Service is designed to route your API requests to the most cost-effective AI model providers while maintaining quality and performance.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuance.

To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
• Account Security: You are responsible for safeguarding your password and API keys. Notify us immediately of any unauthorized use of your account or any other security breach.
• Account Ownership: Only one person or legal entity may hold an account. You may not transfer your account to another party without our prior written consent.
• Age Requirement: You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account and use the Service.

We reserve the right to suspend or terminate any account that we believe, in our sole discretion, violates these Terms or is engaged in fraudulent, abusive, or unlawful activity.

You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation;
• Infringe upon or violate the intellectual property rights, privacy, or other rights of any third party;
• Upload, transmit, or process content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable;
• Attempt to gain unauthorized access to, disrupt, or overload the Service, its servers, or the servers and networks connected to the Service;
• Use the Service to generate content that promotes violence, illegal activities, or harm to individuals or groups;
• Reverse engineer, decompile, or disassemble any portion of the Service, except as permitted by applicable law;
• Resell, sublicense, or redistribute the Service or access to the Service without our prior written authorization;
• Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.

We reserve the right to investigate and take appropriate legal or technical action against any activity we believe violates this Acceptable Use Policy, including terminating accounts and reporting to law enforcement authorities.

Certain features of the Service require payment of fees. By using paid features, you agree to pay all applicable fees as described on our pricing page or as otherwise agreed in writing.

You authorize us to charge your designated payment method for all fees incurred through your account. You are responsible for any taxes associated with your use of the Service, other than taxes based on our net income.

If you believe you have been charged in error, you must contact us within 30 days of the charge date. Chargebacks initiated in violation of these Terms may result in account suspension.

Your use of the ZapAI API is subject to these Terms and any additional API usage guidelines we publish. You are responsible for all API usage associated with your API keys.

We may monitor API usage to detect abuse, enforce limits, and improve the Service. Aggregate, anonymized usage data may be used for analytics and product improvement.

The Service, including its design, features, and underlying technology, is owned by ZapAI and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, whether express or implied, including but not limited to:

• Implied Warranties: Any implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
• Accuracy: That the Service will be accurate, reliable, complete, or error-free;
• Availability: That the Service will be uninterrupted, secure, or available at any particular time or location;
• Output Quality: That any results or outputs obtained through the Service will be accurate, reliable, or suitable for your purposes.

You use the Service at your own risk. AI-generated content may contain errors or produce unexpected results. You should independently verify any output before relying on it. No advice or information obtained from us or through the Service creates any warranty not expressly stated in these Terms.

To the fullest extent permitted by applicable law, in no event shall ZapAI, its directors, employees, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or business opportunities;
• Business interruption or system downtime;
• Cost of substitute goods or services;
• Damages resulting from the use or inability to use the Service;
• Damages arising from any output or content generated by the Service.

Our total aggregate liability for any claim arising out of or relating to the Service or these Terms shall not exceed the amount you have paid us through the Service in the three (3) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.

The foregoing limitations and exclusions apply even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain liabilities, so some of the above limitations may not apply to you.

You may terminate your account at any time by discontinuing use of the Service and notifying us. Upon termination, your right to use the Service will immediately cease.

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms, failed to pay applicable fees, or engaged in conduct harmful to us, other users, or third parties.

Termination of your account does not relieve you of any obligation to pay fees accrued prior to termination.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or through a prominent notice on the Service.

Your continued use of the Service after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service before the changes take effect.
